These Terms of Service ("Terms") govern your access to and use of the Operiq AI platform and related services ("Service"), operated by Operiq AI ("Operiq," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms.
1. Eligibility and Account
You must be at least 18 years old and have the legal capacity to enter into contracts to use Operiq. You agree to provide accurate information when registering and to keep your account credentials secure. You are responsible for all activity under your account.
2. License to Use
Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes. You may not sublicense, resell, or distribute the Service without prior written consent.
3. Acceptable Use
You agree to use Operiq only for lawful purposes. You must not:
- Use the Service to mislead, defraud, or deceive website visitors
- Generate spam, unsolicited messages, or illegal content
- Attempt to circumvent usage limits or security controls
- Reverse-engineer, copy, or create derivative works from the Service
- Upload or transmit malicious code
- Violate any applicable laws or regulations

4. Subscriptions and Payment
4.1 Plans
Operiq offers monthly subscription plans. Fees are charged in advance on a monthly basis. Your subscription renews automatically unless cancelled before the renewal date.
4.2 Free Trial
We may offer a free trial period. At the end of the trial, your subscription will convert to a paid plan unless you cancel. We will notify you before the trial ends.
4.3 Refunds
We do not provide refunds for partial months. If you cancel, your access continues until the end of the current billing period. Contact privacy@operiq.ai for billing disputes.
5. Data and Privacy
Your use of the Service is subject to our Privacy Policy. You retain ownership of your data. By using Operiq, you grant us the right to process your data as necessary to provide the Service.
You are responsible for obtaining any necessary consents from your website visitors regarding data collection and AI chat interactions.
6. AI-Generated Content
Operiq uses artificial intelligence to generate chat responses. AI-generated content may contain errors or inaccuracies. You are responsible for reviewing and ensuring that your AI receptionist's responses are accurate, appropriate, and compliant with applicable law. Operiq is not liable for AI-generated content that you deploy on your website.
7. Service Availability
We strive for high availability but do not guarantee uninterrupted service. We may perform maintenance that temporarily affects availability. We are not liable for downtime caused by factors outside our reasonable control.
8. Intellectual Property
Operiq and its associated technology, branding, and content are the intellectual property of Operiq AI. Nothing in these Terms transfers ownership of our IP to you. Your custom knowledge base content, business information, and configuration remain your property.
9. Termination
You may cancel your subscription at any time from your account dashboard. We may suspend or terminate your account for violation of these Terms, non-payment, or at our discretion with 30 days' notice. Upon termination, your data will be retained for 90 days then deleted.
10. Limitation of Liability
To the maximum extent permitted by law, Operiq's total liability for any claims arising from your use of the Service shall not exceed the amounts you paid in the 12 months prior to the claim. In no event shall Operiq be liable for indirect, incidental, special, consequential, or punitive damages.
11. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
12. Governing Law
These Terms are governed by the laws of the United States. Disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, except that either party may seek injunctive relief in court for IP infringement or unauthorized use.
13. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or platform notice at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
